These Terms of Service (“Terms”) govern your access to and use of the websites, stores, and services of Baum’s Boots & More, LLC (“Baum’s,” “we,” “us,” or “our”). By accessing our site, visiting our stores, or purchasing from us, you agree to these Terms and to any policies referenced here (including our Privacy Policy and Return Policy).

If you do not agree, do not use the Services.

1) Who we are

Our online store is hosted by Lightspeed. We also use third-party providers (e.g., payment processors, shippers) to operate the Services.

2) Eligibility & account

You must be the age of majority in your state of residence (or have parental consent) to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

3) Orders, pricing & availability

• Offers & pricing: Prices, promotions, and availability may change without notice. We may limit quantities and refuse or cancel orders at our discretion (including suspected reseller orders).
• Errors: We may cancel or refuse any order placed with incorrect price or product information due to error, even after submission or confirmation. If charged, you will receive a prompt refund.
• Taxes: We collect sales/use tax where required by law. You are responsible for any additional taxes or duties.

4) Payment

We accept the payment methods shown at checkout and may use third-party processors that store and process your payment information subject to their privacy/security practices. You authorize us (and our processor) to charge your payment method for the total order amount (including taxes and shipping).

5) Shipping, delivery & risk of loss

• Risk of loss/title: Title and risk of loss pass to you upon our delivery of items to the carrier.
• Delivery dates: Any shipping or delivery dates are estimates only and not guaranteed.
• Damage/shortage: If a shipment arrives damaged or incomplete, keep all packaging and contact us at help@baumsboots.com within a reasonable time following delivery for assistance.

6) Returns & exchanges

Returns are governed by our Return Policy, which is incorporated into these Terms. Please review it before purchasing. If there is any conflict between these Terms and the Return Policy regarding returns, the Return Policy controls.

7) Products & content

We try to display products (including colors) accurately, but displays can vary by device. All product descriptions and features are provided “as is” and may change without notice. We do not guarantee that any item will meet your expectations or needs.

8) Gift cards, promotions & store credit

• Gift cards/store credit are not redeemable for cash except where required by law, and are not replaceable if lost, stolen, or used without permission.
• Promotions (coupons, discounts) are subject to their stated terms and may not be combined unless stated. We may modify or end promotions at any time.

9) Acceptable use

You may not use the Services for unlawful purposes; to violate intellectual-property or privacy rights; to transmit malware or malicious code; to scrape or harvest data; to interfere with security or network operations; or to engage in abusive, harassing, or discriminatory conduct. We may suspend or terminate access for violations.

10) Intellectual property & user content

All site content (logos, text, images, designs) is owned by or licensed to Baum’s and protected by law.
If you submit reviews, photos, or other content (“User Content”), you grant Baum’s a nonexclusive, worldwide, royalty-free license to host, use, reproduce, modify, and display such content in connection with the Services and our marketing, in any media now known or later developed.

DMCA: If you believe your copyright is infringed, email help@baumsboots.com with: (1) your contact information; (2) identification of the copyrighted work; (3) the URL of the allegedly infringing material; (4) a statement under penalty of perjury that you are the rights holder or authorized agent; and (5) your signature.

11) Third-party services & links

The Services may link to or interoperate with third-party sites or tools (e.g., payment, analytics, shipping). We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

12) SMS/text messaging (if you opt in)

By providing your phone number and opting in, you consent to receive marketing and transactional texts from Baum’s. Message & data rates may apply. Message frequency varies. Reply STOP to opt out, HELP for help. See our Privacy Policy for details. SMS consent is not a condition of purchase.

13) Warranty disclaimer

THE SERVICES AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free.

14) Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BAUM’S AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES OR PRODUCTS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BAUM’S IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100. Some jurisdictions do not allow certain limits; in those cases, we limit liability to the maximum extent permitted.

15) Indemnification

You agree to indemnify and hold harmless Baum’s and its affiliates, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of another party.

16) Dispute resolution; arbitration; class-action waiver

PLEASE READ THIS SECTION CAREFULLY. It requires arbitration of disputes and limits the manner in which you can seek relief.

• Informal resolution: Before filing a claim, you agree to email help@baumsboots.com with a description of your dispute so we can attempt to resolve it informally within 30 days.
• Arbitration: If not resolved, disputes will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Location: Lexington, Kentucky (or by video/phone if permitted). Governing law: Kentucky law (see Section 18).
• No class actions: You and Baum’s agree to bring claims only in your or our individual capacity, not as a class member or representative, and the arbitrator may not consolidate others’ claims.
• Small claims: Either party may bring an individual action in small claims court in Kentucky.
• Opt-out: You may opt out of arbitration within 30 days of your first use of the Services by emailing help@baumsboots.com with subject “Arbitration Opt-Out” and your name, address, and the statement that you opt out. This does not affect prior agreements to arbitrate disputes already pending.

17) Force majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, including but not limited to acts of God, labor disputes, carrier delays, supply shortages, government actions, or telecommunications failures.

18) Governing law & venue (Kentucky)

These Terms and any disputes will be governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles and not by the U.N. Convention on Contracts for the International Sale of Goods. Subject to Section 16 (arbitration), you agree to the exclusive jurisdiction and venue of the state courts in Madison County, Kentucky, or the federal courts serving Kentucky.

19) Changes to the Services or Terms

We may modify the Services and these Terms at any time. The “Last updated” date reflects the latest changes. Your continued use after changes become effective constitutes acceptance.

20) Severability; waiver; entire agreement

If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with referenced policies, are the entire agreement between you and Baum’s regarding the Services.
